Terms and Conditions
This is an agreement between you (either an individual or the legal entity you represent, “Customer”) and Recall (“we”, “us”) governing your use of the Recall app (the “Service”) as made available through the Atlassian Marketplace for Jira Cloud. By installing, enabling, or using the Service, you agree to be bound by these Terms. If you do not agree, do not install or use the Service.
1. The Service
Recall is a hosted (SaaS) app that surfaces similar, previously resolved Jira issues to help teams avoid re-solving the same problem twice. The Service is provided entirely through your Jira Cloud instance and our backend infrastructure; there is no software for you to install, host, or manage outside of enabling the app via the Atlassian Marketplace.
2. License grant
Subject to your compliance with these Terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes, for as long as the Service remains installed and enabled on your Jira Cloud site. The Service is licensed for your use, not sold, and all rights not expressly granted here are reserved.
3. Subscription, fees, and trial
Any trial period, subscription tier, and fees applicable to your use of the Service are as described in the listing and order flow presented through the Atlassian Marketplace at the time you install or purchase Recall. Billing, renewal, and cancellation are handled through Atlassian's Marketplace purchasing system, not directly by us.
4. Acceptable use
You agree not to:
- Reverse engineer, decompile, or attempt to extract the source code of the Service, except to the extent applicable law expressly permits;
- Use the Service to build a competing product or service;
- Attempt to circumvent usage limits, rate limits, or trial restrictions;
- Use the Service in a way that violates applicable law or Atlassian's Marketplace terms.
5. Your data
Our access to, and processing of, data from your Jira site is described in our Privacy Policy, which forms part of these Terms. You retain all rights to your Jira data; we claim no ownership over it and use it solely to provide the Service to you.
6. Intellectual property
We retain all right, title, and interest in and to the Service, including all associated intellectual property rights. Nothing in these Terms transfers any ownership of the Service to you.
7. Disclaimer of warranty
The Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that suggestions surfaced by the Service will be accurate or complete.
8. Limitation of liability
To the maximum extent permitted by law, our total liability arising out of or related to these Terms or the Service will not exceed the fees you paid for the Service in the twelve (12) months preceding the claim. In no event will we be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business interruption, even if advised of the possibility of such damages.
9. Term and termination
These Terms remain in effect for as long as you use the Service. You may stop using the Service at any time by uninstalling or disabling it via Jira Cloud. We may suspend or terminate your access if you materially breach these Terms and do not cure the breach within a reasonable time after notice. What happens to your data on termination is described in our Privacy Policy.
10. Changes to these Terms
We may update these Terms as the Service evolves. Material changes will be reflected by updating the “Last updated” date below. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
11. Governing law
These Terms are governed by the laws of the jurisdiction in which Recall is established, without regard to conflict-of-law principles, unless a different governing law is required by applicable consumer protection law in your jurisdiction.
